Failure to enforce any of the provisions set out in these Terms and Conditions and any Agreement, or failure to exercise any option to terminate, shall not be construed as waiver of such provisions and shall not affect the validity of these Terms and Conditions or of any Agreement or any part thereof, or the right thereafter to enforce each and every provision.

These Terms and Conditions will be interpreted and construed exclusively in English. All notices and correspondence will be written exclusively in that language.

These Terms and Conditions, together with our privacy statement and cookie policy, constitute the entire agreement between you and GTAServices in relation to your use of this website.

We may update these Terms and Conditions from time to time. It is your obligation to periodically check these Terms and Conditions for changes or updates. The date provided at the beginning of these Terms and Conditions is the latest revision date. Changes to these Terms and Conditions will become effective upon such changes being posted to this website. Your continued use of this website following the posting of changes or updates will be considered notice of your acceptance to abide by and be bound by these Terms and Conditions.

AutomateWoo

How we use your data

AutomateWoo uses personal data in many of its features and stores personal data in your WordPress database. We do not store any personal data from your website on our servers. You may need to adjust the suggested text below based on your settings and which workflows are in use.

Suggested text: If you opt-in to receive marketing updates we may use your personal information to provide you with product updates or marketing communications that we believe may be of interest to you. Personal data may also be used by our internal system to automate processes of our store.

Carts

If you are using AutomateWoo's cart tracking feature user carts will be stored for 60 days, depending on your settings.

AutomateWoo keeps a record of when a user or guest chooses to opt-in or opt-out.

AutomateWoo keeps a record of all workflow logs which includes open, click and conversion tracking.

Pre-submit data capture

AutomateWoo has the option to capture customer data before forms are submitted which usually means that consent has not been given. Using this feature may not be legal in some regions depending on your legal basis for capturing that data. If you choose to use this feature we recommend including some reasoning behind it.

What we share with others

AutomateWoo integrates with third party services which means personal data may be shared depending on what integrations you have enabled and which workflows you are using.

Ambassador Program

These terms govern your use of our Ambassador Program that we provide via the GTAServices.ca website.

By participating in the GTA Services Ambassador Program (also known as “GTA Services Affiliate Program” or “Program”), you agree with the terms and policies set forth in the agreement (“Agreement”) below.

Please read the entire Agreement, as it is a legal agreement between you and GTA Services.

By submitting the online application, you are agreeing that you have read and understood the terms and policies of this Agreement, and that, if GTA Services accepts your application, you agree to be legally responsible for each and every term and policy.

Your participation in the Program is solely for the purpose of legally advertising GTA Services to receive a commission on products purchased by your referrals.

This Agreement begins when GTA Services accepts you into the Program and will end when your participation is terminated.

GTA Services may change the Program or this Agreement at any time without notice.

If any change to the Program or the Agreement is unacceptable to you, your only choice is to terminate your participation.

Your continuing participation in the Program will constitute your acceptance of any change.

You or GTA Services may suspend or terminate your participation in the Program at any time for any reason.

You are only eligible to earn commissions while you are participating in the Program in accordance with the terms of this Agreement.

Referrals

GTA Services will attribute referrals to you based on a tracking code embedded in your Ambassador links.

When a referral clicks through your Ambassador link, we set a cookie that contains your tracking code in the browser.

We may also record the IP address of the browser or use similar technology to identify the browser.

When the referral decides to buy a product at GTA Services, a script will look for the cookie or use similar technology to identify you and award the commission.

Referrals from your Ambassador link may make a purchase up to 120 days later and GTA Services will still award the commission, as long as the cookie is still present in the browser.

GTA Services reserves the right to refuse service to any referral.

Commissions

For each new referral that purchases any qualifying GTA Services subscription-based product or service, you earn 20% recurring lifetime commissions for as long as they renew their subscription.

For each new referral that purchases any qualifying GTA Services non-subscription product or service, you earn a 20% one-time commission.

GTA Services uses an Ambassador tracking system to tabulate and track sales and commission payments due to our Ambassadors after the tracking process and purchases are completed.

Through the Ambassador tracking system website, you will have access to the information that we use to determine commissions we owe you.

GTA Services reserves the right to increase or decrease commission rates from time to time as it sees fit.

There is no maximum commission limit.

If a referral cancels their subscription or if the referral requests a chargeback on the purchase, you will not receive a commission.

Payouts

We pay all of our Ambassadors that have successfully registered for Ambassador payments, at the end of each month.

Payouts will disperse to Ambassadors within 2-14 days and each Ambassador will be notified when their earnings are deposited.

There are no minimums to be eligible for a payout.

Reversals

GTA Services reserves the right to reverse referrals due to order cancellations, duplicate tracking, returns, disputed charges, and Program violations as outlined in these terms and policies.

Additionally, if we ask you for clarification or more information on any orders or clicks that we suspect may be in violation of Program terms and policies, we expect that you will respond in a timely and honest manner.

Below are violations of our communications policy.

  1. You are not forthcoming, you are intentionally vague, or you are found to be dishonest.
  2. You are not responsive within a reasonable time period and after multiple attempts to make contact using your email address associated with your GTA Services account.

If either of the above applies, then we reserve the absolute right to suspend you from the Program, reverse referrals, modify payouts, set your commission to 0%, or immediately terminate your participation in the Program.

We know that many violations are a result of automated processes, however, it is incumbent upon each Ambassador to ensure that it has the appropriate checks and balances in place to address such issues proactively and to adhere to the terms and policies of this Agreement.

Social Media

GTA Services permits you to promote offers on outlets such as Facebook, Twitter, blogs, discussion forums, and other social media following these general guidelines:

  1. You ARE ALLOWED to post your Ambassador links on outlets that are not owned or managed by GTA Services.
  2. You ARE PROHIBITED from posting your Ambassador links on outlets that are owned or managed by GTA Services.

Keywords

You shall not purchase keywords, domain names, advertising, search terms, AdWords, or any other identifiers that include the words “GTA Services,” the names of GTA Services products or services, or any variations or misspellings thereof.

As an example, this policy prohibits you from purchasing domain names based on “GTA Services” or variations, such as “GTAServices.ca” or “GTA-Services” or “www.GTAServices.ca”.

Relationship

This Agreement shall not be construed to create any employment relationship, agency relationship, or partnership between you and GTA Services.

GTA Services will not be responsible for any taxes that you owe arising out of your relationship with GTA Services as set forth in this Agreement.

GTA Services will not withhold any taxes from the commissions paid to you.

You shall include a disclosure statement within any and all pages or posts where you use Ambassador links in an endorsement or review, and where it is not clear that the link is a paid advertisement.

This disclosure statement should be clear and concise, stating that GTA Services is compensating you for your review or endorsement.

Prohibited Claims

You shall not make claims that GTA Services products or services are in any way associated with others.

Warranties

GTA Services makes no express or implied warranties or representations with respect to the Program.

GTA Services makes no representation that the operation of the Program will be uninterrupted or error-free, and GTA Services will not be liable for the consequences of any interruptions or errors.

You represent and warrant the following:

1) You have the legal authority to enter into this Agreement and to be bound to the terms and policies set forth in this Agreement.

2) Your website does not contain any materials that are:

(a) Unlawful or solicitous of behavior that is unlawful in the United States;

(b) Unlawful or solicitous of behavior that is unlawful in the geographic area from which you operate.

3) You have obtained any necessary clearances, licenses, or other permission for any intellectual property used on your website.

Nothing on your website infringes upon the intellectual property rights of any person or entity.

No person or entity has brought or threatened an action claiming such infringement, nor do you have any reason to believe that any person or entity will bring or threaten such a claim in the future.

4) You do not compete with GTA Services.

You are not an employee, agent, or partner with any person or company that competes with GTA Services.

You may be an Ambassador with or an independent contractor to persons or companies that compete with GTA Services.

Indemnification

You will indemnify and hold harmless GTA Services from any claim, damage, lawsuit, action, complaint, or other costs arising out of any breach of your warranties set forth above.

You will also indemnify and hold harmless GTA Services for any damage, loss, or other cost arising out of your use or misuse of the Assets.

Confidentiality

Any information that you are exposed to by virtue of your relationship with GTA Services under these terms and policies, which information is not available to the general public, shall be considered to be confidential company information.

You may not disclose any confidential company information to any person or entity, except where compelled by law, unless you obtain prior written consent for such disclosure from GTA Services.

Liability

GTA Services will not be liable for any loss of profits or costs, or for any direct, indirect, special, incidental, or consequential damages, including costs associated with the procurement of substitute goods or services (whether GTA Services was or should have been aware or advised of the possibility of such damage), arising out of or associated with any loss, suspension, or interruption of service, termination of this Agreement, use or misuse of the Assets, or other performance of services under this Agreement.
